contract lawyer, saint-petersburg m/w (ru0908b)

requirements:

* excellent academic record in jurisprudence (preferably faculties of civil or corporate law)
* excellent written and oral communication skills in english is a must
* at least 5 years of experience as lawyer with corporate and civil law: obligatory
* experience of work with service and / or construction contracts : obligatory
* experience of work in mid-to-large size international or european company: appreciated
* experience of work with tax / import legislation and rules: appreciated
* working experience in russia is a must

Должностные обязанности:
Main task:

* being initially the contract lawyer in fact you would be the unique lawyer of the company. You would be mainly responsible for the contractual questions and at the second hand for all other legal questions of the company: corporate and civil, import, tax and so on.

responsibilities:

* preparation and timely change of the corporate and founding documents: status, shares, licensing etc.;
* managing the bilingual services and works contracts for up to 8 millions euro as for saint-petersburg, so for moscow and other regions of russia: tver, murmansk etc.;
* checking the most important contracts (up to 40-50 millions euro each), established by the head office, on the compliance with the russian legislation;
* working on construction contracts: questions of liability, damages / delays, fulfilment of work, implicity of the acts,insurance questions (very important), responsibilities, risks;
* checking the contracts and other documents to the compliance with the russian legislation;
* attentively taking care about insurance of subcontractors;
* settlement the legal questions of the equipment importation process, some tax questions;
* coordinate actions of all internal services from the legal point of view, in order to secure the company;
* prepare and discuss the details of the contracts with the subcontractors;
* participate to the negotiations with the clients / subcontractors on offers, payment terms etc.;
* actively take part in the internal and european meetings.
